Cramdown

The term cramdown is used to describe a court’s imposition of a plan to reorganize a company while some creditors oppose to the court’s imposition.

Cramdown is sometimes used to describe a transaction where debt or equity holders must accept a financial transaction which they wish to avoid because of its disadvantageous terms, such as expensive financing, or an acquisition at an unfavorable price.
